Terms of Service

These Terms of Service (the Terms) govern your access to and use of Voratiq, a software service operated by Holoprose, Inc., including our websites, hosted application, APIs, connected command-line tooling, support, and related online services (collectively, the Services). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you access the Services on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf. If you have a separate signed or click-through agreement with Voratiq for the same Services, that agreement controls where it conflicts with these Terms.
Using the Services
You may use the Services only in compliance with these Terms and applicable law. You are responsible for your account, your credentials, and all activity that occurs through your account. You must provide accurate account information and keep your login credentials secure.
You may use the Services only if you can lawfully enter into these Terms and are not barred from using the Services under applicable law. You may not use the Services in violation of applicable export control, sanctions, or import laws, including by using the Services from a comprehensively sanctioned country or region or while listed on a restricted party list.
Open Source Software and Hosted Services
Some Voratiq software may be distributed under open-source licenses. Those licenses govern your use of the code they cover, and these Terms do not limit rights granted to you under those licenses.
These Terms apply to the Services, including hosted or managed features, accounts, APIs, support, commercial offerings, and other Voratiq offerings that are not governed by a separate agreement or open-source license.
Ownership and Feedback
Voratiq and its licensors own all rights, title, and interest in the Services, including software, interfaces, designs, documentation, trademarks, and other materials we provide, except for open-source components governed by their licenses and Your Content. We reserve all rights not expressly granted in these Terms.
If you provide feedback, suggestions, ideas, or requests about the Services, you grant Voratiq a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback without obligation to you.
Plans, Trials, and Fees
We may offer free, trial, beta, paid, or otherwise limited versions of the Services. Features, limits, pricing, and availability may vary by plan and may change over time.
If you purchase a paid offering, you agree to pay the applicable fees and taxes according to the payment terms presented when you subscribe or as otherwise agreed. Payments may be processed by third-party payment providers and may be subject to their terms.
Beta and Preview Features
We may offer beta, preview, experimental, or limited-release features. These features may be incomplete, change at any time, be subject to additional limits, or be discontinued without notice. You should not rely on beta or preview features for critical production use unless we agree otherwise in writing.
Your Content and Workflow Data
You retain ownership of prompts, instructions, repository information, workflow records, logs, artifacts, and other content you submit to or process through the Services (collectively, Your Content). You grant Voratiq a limited license to host, process, transmit, display, and use Your Content as necessary to provide, secure, maintain, and improve the Services.
We may use aggregated or de-identified usage and performance data to operate, analyze, and improve the Services. We do not claim ownership of Your Content, and we do not use non-public Your Content to train foundation models unless you opt in, choose a feature that requires that processing, or agree otherwise with us.
You are responsible for Your Content and for ensuring that you have the rights and permissions needed to submit it to the Services. Do not submit sensitive regulated data or highly sensitive personal information unless you have the authority to do so and the Services are appropriate for that use.
Acceptable Use
You agree not to:
- violate applicable law or third-party rights;
- attempt to gain unauthorized access to systems or accounts;
- interfere with or disrupt the Services;
- upload malware, exploit code, or intentionally harmful content;
- abuse, probe, or overload the Services or related infrastructure;
- misrepresent your identity or affiliation; or
- use the Services to generate or facilitate unlawful activity.
Agentic Workflows and Outputs
The Services help orchestrate and evaluate work performed by software agents and related tools. Outputs may be incomplete, incorrect, insecure, or unsuitable for your use case. You are responsible for reviewing, testing, verifying, and deciding whether to use any output produced by or through the Services.
Third-Party Services
The Services may interoperate with third-party products, models, providers, repositories, and infrastructure. We are not responsible for third-party services, and your use of them may be subject to separate terms and policies.
Indemnification
To the fullest extent permitted by law, you will indemnify, defend, and hold harmless Voratiq, its affiliates, officers, directors, employees, and agents from and against claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of or related to Your Content, your use of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.
Changes, Suspension, and Termination
We may update, modify, suspend, or discontinue parts of the Services at any time. We may suspend or terminate access if we believe you have violated these Terms, created risk for Voratiq or others, or used the Services in a way that could harm the Services or other users.
You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including provisions about ownership, feedback, Your Content, acceptable use, indemnification, disclaimers, limitation of liability, and dispute-related terms.
Disclaimers
The Services are provided on an as is and as available basis. To the fullest extent permitted by law, Voratiq disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, and accuracy.
Limitation of Liability
To the fullest extent permitted by law, Voratiq will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising out of or related to the Services or these Terms.
To the fullest extent permitted by law, Voratiq's total aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the amounts you paid to Voratiq for the Services giving rise to the claim during the 12 months before the event giving rise to liability, or $100 if you did not pay for the Services.
Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Except where applicable law requires otherwise, the exclusive venue for disputes arising out of or related to these Terms or the Services will be the state or federal courts located in Delaware, and each party consents to personal jurisdiction there.
Changes to These Terms
We may update these Terms from time to time. The updated version will be indicated by a new date at the top of this page. Your continued use of the Services after updated Terms are posted means you accept the updated Terms.
